Terms of Service

1. Acceptance of Terms

By accessing or using the Lume Scan application, Lume-Auto platform, hardware adapters, or associated services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Services. These Terms constitute a legally binding agreement between you and DarkWave Studios LLC ("Company", "we", "us").

2. Use of Services

Lume-Auto provides vehicle telemetry, diagnostic insights, and behavioral governance guidance. The Services are intended solely for informational and educational purposes. You are solely responsible for operating your vehicle safely and in compliance with all traffic laws. The Services do not replace professional automotive diagnosis or repair.

3. Subscription & Billing

Lume Scan Pro is available through two purchasing models:

a) License Model (Software Purchase + Monthly Service): You make a one-time software purchase at the current tier price, which grants you permanent ownership of the Lume Scan application. A separate monthly subscription fee provides access to continuous software updates, cloud-powered diagnostics, predictive maintenance features, and support services. The monthly rate is locked at the tier price active at the time of your purchase for as long as your subscription remains active and in good standing.

b) Own Outright Model: A single one-time payment of $249 grants permanent, lifetime access to all Pro features, updates, and support with no recurring charges.

c) Auto-Renewal: Monthly subscriptions automatically renew on the same date each month. Your payment method on file will be charged the locked monthly rate unless you cancel before the renewal date.

d) Price Lock Policy: Your monthly subscription rate is locked at the tier price at the time of purchase. If you cancel and later resubscribe, you will be charged the then-current tier rate, which may be higher than your original locked rate.

4. Cancellation & Refunds

Subscription Cancellation: You may cancel your monthly subscription at any time through your account settings or by contacting support@lumescan.tech. Cancellation takes effect at the end of the current billing period. No partial-month refunds are issued.

Software Ownership: If you cancel the monthly service, you retain permanent ownership of the Lume Scan application and basic scanning functionality (Free tier features). Pro features — including the 42-signal engine, fuel coaching, predictive maintenance, and driver scoring — require an active subscription or Own Outright license.

7-Day Satisfaction Guarantee: If you are not satisfied with your purchase, you may request a full refund of the software purchase price within 7 days of the original transaction. Monthly subscription fees already charged are non-refundable. To request a refund, email support@lumescan.tech with your order confirmation.

5. Tiered Pricing

Software purchase prices and monthly subscription rates are determined by the active pricing tier at the time of purchase. Tiers are based on the number of licenses sold and increase as each tier's allocation is filled. Pricing tiers, allocations, and rates are subject to change at the Company's discretion. Once purchased, your locked monthly rate is guaranteed as described in Section 3(d).

6. Limitation of Liability

Lume-Auto is primarily a diagnostic read tool that retrieves data from your vehicle's Engine Control Unit (ECU). The platform also includes a DTC clearing function (OBD-II Mode 04) that sends a standard reset command to the ECU to clear stored trouble codes and the Malfunction Indicator Lamp. This is the same function performed by any standard OBD-II scan tool and does not alter engine calibration, firmware, or operating parameters. Use of the code-clearing function is at your sole discretion and responsibility. Under no circumstances shall Lume-Auto, DarkWave Studios LLC, its directors, employees, or affiliates be liable for any direct, indirect, incidental, or consequential damages resulting from vehicle malfunction, accidents, warranty disputes, or emissions inspection outcomes.

7. Hardware & Third-Party Products

a) Software-Only Product: Lume Scan is a software and firmware product. The OBD-II adapter ("dongle") is a standard commodity Bluetooth/WiFi device that you purchase separately from third-party retailers (Amazon, eBay, etc.). DarkWave Studios LLC does not manufacture, sell, warranty, or provide technical support for OBD-II adapters.

b) Adapter Returns & Exchanges: If your OBD-II adapter is defective, damaged, or unsatisfactory, contact the original retailer (e.g., Amazon) directly for return, exchange, or warranty service. DarkWave Studios LLC has no involvement in adapter fulfillment, shipping, or returns.

c) What We Guarantee: We guarantee the Lume Scan application, diagnostic firmware, and deterministic governance engine. Every scan result produced by Lume Scan is cryptographically hashed (SHA-256) and anchored to the Trust Layer Ledger (TLL) for independent verification. This cryptographic guarantee ensures your diagnostic data is tamper-proof and independently provable.

d) No Hardware Liability: DarkWave Studios LLC is not liable for any damage, malfunction, or data loss caused by third-party OBD-II adapters, including but not limited to adapter defects, firmware incompatibility, or electrical issues. Use of any adapter with the Lume Scan application is at your own risk.

8. Key Management (Mode 05)

a) Professional Diagnostic Feature: Key Management (Mode 05) is a professional diagnostic feature that enables immobilizer key programming via UDS over your vehicle's OBD-II diagnostic port. Users are responsible for complying with applicable state and local licensing requirements for automotive key programming in their jurisdiction.

b) State Licensing: Approximately 15 US states require a locksmith license for certain key programming activities. The LUME app will notify you of any applicable requirements in your state before Mode 05 is accessed. DarkWave Studios LLC does not hold a locksmith license and is not required to hold one as a manufacturer and seller of professional diagnostic tooling.

c) Permanent Records: Every key programming event performed through Mode 05 is cryptographically hashed and permanently recorded. Consumer events are anchored to the Trust Layer Ledger (TLL) and generate a TLL-verified receipt. Enterprise events are anchored to the applicable enterprise ledger. These records cannot be altered or deleted.

d) Operational Limitations: Mode 05 requires an active Bluetooth connection to the LUME app at all times during operation. Key programming cannot be performed unattended. The feature requires a Tier 2 (Key Management) or higher firmware license.

9. Intellectual Property

All intellectual property related to Lume-Auto, Lume Scan, the Trust Layer Ledger, and the deterministic governance engine is owned by DarkWave Studios LLC and protected under US Provisional Patent 64/032,339 and related filings. You are granted a limited, non-exclusive, non-transferable license to use the software for personal or fleet diagnostic purposes. You may not reverse-engineer, redistribute, or sublicense the software.

10. SMS and Communications

If you opt-in to our SMS waitlist or alerts, you agree to receive text messages from Lume-Auto at the number provided. Consent is not a condition of purchase. Message and data rates may apply. Reply STOP to cancel.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Tennessee.
